GRUMMAN APPROVES
NORTHROP TENDER OFFER
BETHPAGE, N.Y., April 4/
PRNewswire/- Grumman Corporation's
(NYSE: GQ) board of
directors unanimously approved a
tender offer from Northrop Corporation
(NYSE: NOC) of $62 a share
for Grumman common stock, and
recommended that shareholders
tender their shares.
The Northrop tender offer is an
increase from its $60 a share offer
made on March 10. This followed
a March 7 tender offer from Martin
Marietta Corporation for $55 a
share. The Martin Marietta offer
had been approved by Grumman's
board on (NYSE: ML) March 6,
before the Northrop offer was
received. However, Martin
Marietta did not increase its offer
on March 31, when Grumman had
asked the two companies to submit
their final bids.
Renso L. Caporali, Grumman
chairman, said, "An increase of $7
a share over *he original offer is
an excellent deal for our shareholders,
and we're pleased to have
four weeks of uncertainty behind
us. Northrop's determination
showed how highly they regard
Grumman's people, technologies
and programs. I'm sure there will
be a smooth transition from the
Grumman Corporation to the
Northrop Grumman Corporation.
"We continue to believe that
consolidation is the only sensible
answer to the overcapacity in our
industry, and the combined
strengths of our two companies
will make Northrop Grumman
Corporation a formidable competitor,"
Caporali added.
BETHPAGE FIREFIGHTERS
WIN NASSAU COUNTY AWARD
The Nassau County Fire Commission
has voted to award Engine
Company Five of the Bethpage
Fire Depatment its Emergency
Medical Services unit citation for
their heroic actions at the scene
of a motor vehicle accident.
On August 22, 1993 Bethpage
Engine Co. 5 was on standby duty
covering North Massapequa. At
6:09 pm a passerby stopped at the
fi rehouse to advise of an auto
acoident on the Southern State
Parkway. Engine Co. 5 immedia-tley
responded with Massapequa
ambulance 638. Upon arrival they
found a car that had crashed into
a tree. A 17-year old girl was lying
on the ground suffering from a
dislocated hip. Her 19-year old
sister was pinned in the back seat
of the wrecked auto. Her dead
father's head was in her lap.
The crew of both units, with
limited manpower, deployed a
hose line charged with foam,
checked the leaking gasoline,
extricated and cared for the
injured and controlled the crowd.
It should be noted that the two
officers and nine firefighters from
Bethpage and Massapequa had
never worked together before, yet
managed to perform their lifesav-ing
tasks in a very organized and
professional manner.
The Awards Ceremony will be
held at 8 pm on Wednesday, April
20 at Uniondale High School,
Goodrich Street, Uniondale. The
Bethpage crew members to be
honored are: Captain Charles
DiPrima, Ex-Captain Scott Smith,
Firefighters Todd Smith, Robert
Hoffman and Ron Martin. Assistant
Chief Gary Hearn was the
Incident Commander.
