of all the general partners. The

limited partners are: Benjamin
Nadel, 30 Barstow Road, Great

as Trustees under trust agreements
dated April 1, 1967 for
the benefit of Kari Moskowitz
and Kimberley Moskowitz, and
under triist agreement dated
April 1, 1967 for the benefit
of Allison Moskowitz. No other
property is contributed and no
additional contributions are
agreed to be made by any limited
partner. The time when the contribution
of each limited partner
is to be returned is upon dissolution
of the partnership. All
profits and losses shall enure
to the benefit of all the partners
proportionately as their capital
contribution bears to the entire
capital of the partnership. The
limited partners shall not be
personally liable for any of the
debts of the partnership or for
any losses beyond the amount
agreed to be contributed by them.
The cash available for distribution
shall be distributed to the
partners in the same proportion
as their contribution. If any
partner advances any moneys to
the partnership in excess of his
agreed contribution to the capital,
the amount advanced shall not
be an increase of his capital
contribution or entitle him to
any increase in the share of
any distributions, nor subject
him to any greater proportion
of any losses, but the amount
of such advance shall be a debt
due from the partnership unless
otherwise provided and agreed,
and shall be repaid without interest.
The compensation of the
general partners shall be that
as fixed by all the general partners
from time to time. The
general partners may engage in
any other business. A general
partner may elect to retire upon
giving 90 days'notice. Suchnotice
shall cause a dissolution of the
partnership on the date specified
therein. In the event of death,
bankruptcy or insanity of a general
partner, the partnership
shall be dissolved on the 90th
day after such event. Notwithstanding
the aforesaid, if within
90 days after such death,
bankruptcy or insanity or within
90 days prior to the date of
such retirement, the remaining
general partners can elect to
continue the business upon the
written consent to such continuance
of all the limited partners.
Any limited partner shall
have the right to assign his interest
upon 30 days' written notice
delivered to the general
partners at the principal office
of the partnership. Such assignment
shall be effective only
to give the assignee the right
to receive the share of the profits
to which his assignor would
otherwise be entitled, and shall
not give the assignee the right
to become a limited partner.

Any limited partner may substitute
an assignee as a new
limited partner in his place
either in whole or in part, with
the unanimous consent of all the
general and limited partners.
Any limited partner may transfer
or dispose of his interest
by will or intestacy to or for
the benefit of his " immediate
family" ( husband or wife, adult
child, father or mother, adult
sister or adult brother), or may
transfer same during his lifetime
by gift or inter vivos trust
to or for the benefit of his immediate
family. A limited partner
may sell, transfer, assign,
pledge < r encumber, or hypothecate
his interest to any other
partner. The partnership may be
dissolved at any time upon the
affirmative vote of all of the
general partners and upon the
sale or liquidation of the partnership
property. No partner,
limited or general, shall have
the right to demand and receive
property other than cash in return
for his contribution. No right
of priority is given either limited
partner over the other as to
contribution or as to compensation
by way of income.
